Royalty-Free Instore Music License Agreement

This Royalty-Free Music License Agreement (“Agreement”) is entered into by and between:

Licensor: TMC Publishing Ltd + licensor details

Licensee: your business details (name, VAT, address, tax office) as they will appear on the issued license

1. Purpose of the Agreement

This Agreement formalizes the rights and obligations of the Licensor and Licensee regarding the use of royalty-free music for public playback purposes. The licensed music is not registered with any performing rights organization (PRO) and is free from any royalty claims.

2. Grant of License

The Licensor grants the Licensee a non-exclusive, renewable license to publicly perform the licensed music solely for background playback in the authorized store locations listed in this Agreement.

3. Usage Restrictions

  • No Downloading: The Licensee is not permitted to download, copy, or otherwise store the licensed music on any devices or systems.
  • Authorized Platforms Only: The licensed music may only be streamed via the Licensor’s authorized platforms or websites, which may change at the Licensor’s discretion.
  • Background Music Use Only: The music is strictly limited to background playback in the specified store locations. It may not be used for advertising, promotional videos, content creation, public performances outside the licensed locations, or online streaming or redistribution by the Licensee.
  • Store Locations: The use of the music is restricted to the store locations authorized in this Agreement and listed below.

4. Term and Renewal

  • The license is valid for one year from the Agreement Date.
  • The license will automatically renew for successive terms unless the Licensee provides written notice of cancellation at least one month prior to the renewal date.
  • If the Licensee cancels the license, all use of the licensed music must cease by the end of the current term.

5. Authorized Locations

This Agreement permits playback in the following store locations:

The Licensee is authorized to use the music at the locations listed on the issued license.

6. Licensor’s Representations and Warranties

The Licensor represents and warrants that:

  • The music is wholly owned by the Licensor or has been licensed for resale, and no rights or claims exist by any performing rights organization, third-party publisher, or copyright holder.
  • The music is provided free of royalties, and the Licensee is not required to report or pay royalties to any entity.

7. Licensee Obligations

The Licensee agrees to:

  • Use the music strictly for background playback within the authorized store locations and only through the Licensor’s authorized platforms.
  • Refrain from downloading, copying, or redistributing the licensed music.
  • Notify the Licensor in writing of any changes in the number of stores or store locations.

8. Verification and Documentation

In the event of an audit or inquiry, this Agreement serves as proof of the Licensee’s right to use the music as described. The Licensee may present this document to regulatory authorities, performing rights organizations, or other entities to verify compliance.

9. Indemnification

  • The Licensor agrees to indemnify and hold the Licensee harmless against any third-party claims regarding the ownership or rights to the licensed music.
  • The Licensee agrees to indemnify the Licensor against misuse or unauthorized distribution of the music.

10. Termination

This Agreement may be terminated by either party under the following conditions:

  • The Licensee provides written notice of cancellation at least one month prior to the renewal date.
  • The Licensee breaches any terms outlined in this Agreement.

Upon termination, the Licensee must cease all use of the licensed music and remove it from all playback systems.

11. Dispute Resolution

Any disputes arising from this Agreement shall first be resolved through good faith negotiations. If no resolution is reached, the matter shall be referred to arbitration in accordance with the rules of the United Kingdom.

12. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the United Kingdom.

13. Neighbouring Rights

The Licensor guarantees that the licensed music is not subject to any neighbouring rights of performers, producers, or other third-party entities.

14. Certification of Closed Music Service

The provided music service is based exclusively on tracks produced through artificial intelligence, without human creative contribution and without the use of third-party material. This repertoire has never been published or made available to the general public (e.g., on CD, YouTube, Spotify, or other platforms). Access is granted solely to partner businesses through a closed online service with login credentials. Therefore, the repertoire does not constitute “commercially published phonograms.”

15. Entire Agreement

This Agreement constitutes the entire understanding between the parties regarding the licensed music and supersedes all prior agreements, discussions, or representations.

Acknowledgment

By using the licensed music provided by TMC Publishing Limited, the Licensee acknowledges and agrees to the terms and conditions of this Agreement.
